Terms of Service

1. Acceptance of Terms

By accessing or using any JagCall services—including the platform, APIs, mobile applications, browser-based tools, and any associated documentation—you agree to be bound by these Terms of Service ("Terms"). If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the services.

2. Description of Services

JagCall provides an AI-powered communication platform that enables businesses to automate voice calls, SMS messaging, and customer interactions. Our services include, but are not limited to:

  • AI Voice Agents — Configurable voice agents that handle inbound and outbound calls using natural language processing, speech-to-text, text-to-speech, and large language models (LLMs).
  • SMS Messaging — Two-way SMS conversations, automated responses via SMS agents, and opt-out management.
  • Visual Flow Builder — A drag-and-drop interface for designing conversation flows with conditional logic, call transfers, function calls, and SMS nodes.
  • Phone Number Management — Provisioning of local and toll-free phone numbers, number porting, and assignment to agents for inbound calls and SMS.
  • Calendar Integration — Appointment booking and availability checking through Google Calendar, Cal.com, and Calendly.
  • Browser-Based Calling — WebRTC-powered calling directly from the JagCall dashboard.
  • Analytics & Reporting — Call volume, duration, cost breakdowns, agent performance, customer sentiment analysis, and keyword extraction.
  • Integrations — Webhooks, Zapier integration, CRM connections (including Frubix), and a public REST API for programmatic access.
  • Agent Testing & Simulation — Interactive audio/chat testing and automated simulation with case-by-case evaluation.
  • Call Recording & Transcription — Automatic call recording with full transcripts, summaries, and post-call data extraction.

3. Account Registration & Security

To use our services, you must create an account with accurate and complete information. You are responsible for:

  • Maintaining the confidentiality and security of your account credentials, including passwords, API keys, and two-factor authentication (2FA) recovery codes.
  • All activities that occur under your account, whether by you or any person you authorize.
  • Notifying us immediately at support@jagcall.com of any unauthorized access or security breach.

We offer two-factor authentication via TOTP (authenticator apps) and strongly recommend enabling it. Organizations may enforce 2FA for all members.

4. Organization & Team Management

JagCall supports multi-user organizations with role-based access control. Organization owners and administrators are responsible for managing member access, assigning roles (owner, admin, member), and ensuring all members comply with these Terms. The organization account holder is liable for all usage by its members.

5. Acceptable Use

You agree not to use JagCall to:

  • Make unlawful robocalls or violate any telecommunications regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and equivalent local laws.
  • Engage in harassment, spam, phishing, or deceptive practices of any kind.
  • Impersonate real individuals or misrepresent the nature of AI-generated calls or messages. You must clearly disclose when a caller or respondent is interacting with an AI agent where required by law.
  • Transmit malware, attempt to compromise our infrastructure, or exploit vulnerabilities in our platform.
  • Use the platform for any illegal activity, including fraud, identity theft, or unauthorized surveillance.
  • Exceed your plan's usage limits (minutes, SMS, agents, phone numbers) without authorization.
  • Resell, redistribute, or white-label our services without prior written permission.
  • Use our APIs in a manner that degrades service quality for other users, including exceeding published rate limits.
  • Upload harmful, infringing, or unlawful content to knowledge bases or agent configurations.

We reserve the right to suspend or terminate accounts that violate these policies, with or without notice depending on the severity of the violation.

6. Billing, Payment & Pricing

JagCall offers tiered subscription plans (Starter, Professional, Enterprise) as well as usage-based charges. By selecting a paid plan, you agree to the following:

  • Subscription Billing — Plans are billed monthly or annually as selected at the time of purchase. Subscriptions automatically renew unless canceled before the renewal date.
  • Usage-Based Charges — Charges for call minutes, SMS messages, phone number subscriptions, and AI processing are calculated based on actual usage and billed at the end of each billing cycle or deducted from your account balance.
  • Account Balance — You may pre-purchase credits via Stripe. Usage charges are deducted from your balance. You are responsible for maintaining a sufficient balance; services may be paused if your balance is insufficient.
  • Phone Number Fees — Each provisioned phone number incurs a recurring monthly fee. SMS capability on a number requires an additional subscription.
  • Taxes — All prices are exclusive of applicable taxes. Taxes are calculated based on your billing address and applied at checkout.
  • Refunds — All fees are non-refundable except as required by applicable law or as explicitly stated in an Enterprise agreement.
  • Price Changes — We reserve the right to modify pricing with at least 30 days' prior notice. Continued use after the effective date constitutes acceptance of the new pricing.

7. Free Trial

We may offer a free trial period. At the end of the trial, you must select a paid plan to continue using the services. If you do not select a plan, your access to paid features will be suspended, but your account and data will be retained for 30 days.

8. AI & Voice Technology

JagCall utilizes third-party AI services, including large language models (OpenAI, Anthropic), speech-to-text (Deepgram), text-to-speech (ElevenLabs, Deepgram, OpenAI, Cartesia), and voice activity detection. You acknowledge and agree that:

  • AI-generated responses may occasionally be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and configuring your agents appropriately.
  • Voice cloning and custom voice features must not be used to impersonate real persons without their explicit, documented consent.
  • Third-party AI providers have their own terms of service, and your use of JagCall is subject to those terms as applicable.
  • AI model capabilities and availability may change as providers update their offerings.

9. Call Recording & Transcription Compliance

JagCall provides call recording and transcription capabilities. You are solely responsible for:

  • Complying with all applicable federal, state, and international laws regarding call recording, including one-party and two-party consent requirements.
  • Providing adequate disclosure to callers that calls may be recorded and/or handled by AI.
  • Obtaining any required consent before recording begins.

JagCall provides automated disclosure tools (such as pre-call announcements) to assist with compliance, but these tools do not constitute legal advice. Consult qualified legal counsel for guidance specific to your jurisdiction and use case.

10. SMS Messaging Compliance

If you use JagCall's SMS features, you must comply with all applicable messaging regulations, including:

  • Obtaining proper consent before sending messages to recipients.
  • Honoring opt-out requests promptly. JagCall automatically processes standard opt-out keywords (e.g., STOP), but you remain responsible for compliance.
  • Including required sender identification and opt-out instructions in messages.
  • Adhering to carrier guidelines and messaging best practices to avoid filtering or blocking.

11. Data & Intellectual Property

Our Property: The JagCall platform, including its software, design, documentation, APIs, flow builder, analytics dashboards, and all associated intellectual property, is owned by JagCall, Inc. and protected by copyright, trademark, patent, and trade secret laws.

Your Property: You retain all rights to your data, including call recordings, transcripts, agent configurations, knowledge base documents, contact information, and any content you upload or create on the platform.

License Grant: You grant JagCall a limited, non-exclusive license to process your data solely as necessary to provide the services. We do not use your data to train AI models unless you explicitly opt in.

Feedback: If you provide suggestions, feature requests, or feedback, we may use them without obligation to you.

12. API & Developer Terms

Access to JagCall's public REST API and webhooks is subject to the following:

  • API Keys — You are responsible for securing your API keys. Keys should not be shared publicly or embedded in client-side code. Full API keys are displayed only once at creation; store them securely.
  • Rate Limits — API requests are subject to rate limits (200 requests/minute for list operations, 30 requests/minute for create operations). Exceeding these limits may result in temporary throttling.
  • Webhooks — Webhook payloads are signed with HMAC for verification. You are responsible for validating webhook signatures and processing events idempotently.
  • OAuth 2.0 — If you integrate via OAuth, you must comply with our OAuth partner requirements, including proper token handling and scope management.
  • Availability — We may modify, deprecate, or discontinue API endpoints with reasonable notice. Breaking changes will be communicated at least 30 days in advance.

13. Third-Party Integrations

JagCall integrates with third-party services including Twilio, Stripe, Google Calendar, Cal.com, Calendly, Zapier, and various CRM platforms. You acknowledge that:

  • Use of third-party integrations is subject to the respective third party's terms of service and privacy policies.
  • JagCall is not responsible for the availability, accuracy, or performance of third-party services.
  • You are responsible for maintaining valid credentials and authorizations for any connected third-party accounts.
  • Data shared with third-party services through integrations (e.g., calendar bookings, CRM updates, Zapier webhook payloads) is subject to those services' data handling practices.

14. Service Level Agreement

We target 99.9% uptime for core services (voice agents, SMS, API). Enterprise customers on custom plans may receive a formal SLA with guaranteed uptime of up to 99.99% and service credits for downtime.

  • Scheduled maintenance windows are communicated in advance via our Status page and email notifications.
  • Uptime excludes scheduled maintenance, force majeure events, and issues caused by third-party service outages.
  • In the event of unscheduled downtime, we will provide status updates and post-incident reports.

15. Data Security

We implement industry-standard security measures to protect your data, including:

  • AES-256 encryption at rest and TLS 1.3 encryption in transit.
  • Role-based access control (RBAC) with SAML 2.0 SSO support for Enterprise plans.
  • Comprehensive audit logging with 12-month retention.
  • Regular security assessments and SOC 2 Type II compliance.

16. Data Retention & Deletion

Your data (call recordings, transcripts, agent configurations, knowledge base content, contacts) is retained for the duration of your active subscription. Upon account termination:

  • Your data will be retained for 30 days to allow for account recovery or data export.
  • After the 30-day retention period, all data will be permanently and irrecoverably deleted from our systems and backups.
  • Certain data may be retained longer if required by law, regulation, or ongoing legal proceedings.
  • Audit logs are retained for 12 months regardless of account status.

17. Limitation of Liability

To the maximum extent permitted by applicable law:

  • JagCall shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, business opportunities, or goodwill.
  • JagCall shall not be liable for damages arising from AI-generated content, including incorrect information provided by voice agents or SMS agents.
  • JagCall shall not be liable for actions taken by third-party services integrated with the platform.
  • Our total aggregate liability for any claims arising out of or related to these Terms or the services shall not exceed the total amount you paid to JagCall in the 12 months preceding the event giving rise to the claim.

18. Indemnification

You agree to indemnify, defend, and hold harmless JagCall, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the services or violation of these Terms.
  • Your violation of any applicable law or regulation, including telecommunications and privacy laws.
  • Content you upload, transmit, or make available through the services.
  • Your failure to obtain required consents for call recording, SMS, or AI disclosure.

19. Disclaimer of Warranties

The services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. JagCall does not warrant that:

  • The services will be uninterrupted, error-free, or secure.
  • AI-generated responses will be accurate, complete, or appropriate for your use case.
  • The services will meet your specific requirements or expectations.
  • Any defects in the services will be corrected.

20. Termination

By You: You may terminate your account at any time through the platform settings or by contacting support. Termination does not entitle you to a refund of prepaid fees.

By Us: We may suspend or terminate your account immediately if you violate these Terms, fail to pay outstanding charges, or if continued service would violate applicable law. We will endeavor to provide notice except in cases of severe violations.

Effect of Termination: Upon termination, your access to the platform ceases immediately. All provisioned phone numbers will be released, active agents will be deactivated, and scheduled integrations will be disconnected. Data retention is governed by Section 16.

21. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction. The arbitration shall take place in Delaware, and the language of the arbitration shall be English.

22. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email and/or an in-platform notification at least 30 days before taking effect. Non-material changes (such as formatting or clarifications) may be made without prior notice. Continued use of the services after any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the services and terminate your account.

23. General Provisions

  • Entire Agreement — These Terms, together with our Privacy Policy and any applicable Enterprise agreements, constitute the entire agreement between you and JagCall.
  • Severability — If any provision is found unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver — Failure to enforce any right or provision shall not constitute a waiver of that right or provision.
  • Assignment — You may not assign your rights under these Terms without our prior written consent. JagCall may assign its rights without restriction.
  • Force Majeure — Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including natural disasters, government actions, or internet infrastructure failures.
